At TD Bank, America's Most Convenient Bank, we want your banking to be worry free so you can focus on your business. We are notifying you of an amendment to your service agreement. There are no changes to your services specifically associated with this amendment.

We realize that the services we provide are critical to operating your business and transitioning them needs to be handled with care. We work hard to remain your banking partner – however, if you decide to leave us, we want to ensure your services are transitioned with no disruption. Effective as of February 1, 2015

We are amending the “termination” provision of your respective agreements, which govern your use of various online banking and associated products and services with TD Bank (the “Services”).

I.             NOTICE OF IMPORTANT CHANGES IN TERMS FOR TD MUNICIPAL CONVENIENCE CHECKING CUSTOMERS, TD COMMERCIAL CONVENIENCE CHECKING CUSTOMERS, AND TD CASH MANAGEMENT SERVICES CUSTOMERS.

This Important Notice and Change in Terms (this “Notice”) is being provided to customers of TD Bank, N.A. (“TD”) that currently use TD Municipal Convenience Checking Services, TD Commercial Convenience Checking Services, or TD Cash Management Services. This Notice describes changes to the terms of the TD Municipal Convenience Checking Services Agreement, the TD Commercial Convenience Checking Services Agreement, and the  TD Cash Management Master Agreement, as applicable to you (the “Agreement”), effective as of February 1, 2015 (“Effective Date”).

If you access or continue to use the Services on or after the Effective Date, you will be deemed to accept and agree to these changes. All changes have been incorporated into the Agreement, which may be viewed by visiting your local store.

II.            CHANGES IN TERMS

(a)          If you are a TD Cash Management Services customer, effective February 1, 2015, your Cash Management Master Agreement will be amended by replacing Section 14.2 in its entirety with the following: 

14.2        This Agreement shall continue in effect until terminated by either party with thirty (30) Calendar Days’ prior written notice to the other. Either party may terminate an Appendix in accordance with the provisions of this Section without terminating either this Agreement or any other Appendix.  Upon termination of this Agreement or any Appendix, Customer shall, at its expense, return to Bank, in the same condition as when delivered to Customer, normal wear and tear excepted, all property belonging to Bank and all proprietary material delivered to Customer in connection with the terminated Service(s).

(b)          If you are a TD Municipal or TD Commercial Convenience Checking Services customer, effective February 1, 2015, your TD Municipal Convenience Checking Services Agreement or TD Commercial Convenience Checking Services Agreement, as applicable, will be amended by replacing the first paragraph of the section entitled “Term and Termination” in its entirety with the following:

This Agreement shall continue in effect until terminated by either party with thirty (30) Calendar Days’ prior written notice to the other, or as otherwise provided in this Agreement. Upon termination of this Agreement, Customer shall, at its expense, return to Bank, in the same condition as when delivered to Customer, normal wear and tear excepted, all property belonging to Bank and all proprietary material delivered to Customer in connection with the terminated Service(s).
